Agreement

For Mixing & Mastering Services
Effective Date: July 20th, 2025

1. Introduction

This Terms of Service Agreement ("Agreement") is entered into by and between Ryan Summer Music ("Engineer," "we," or "us") and the client ("Client" or "you"). By booking or engaging in any mixing and/or mastering service, the Client agrees to the following terms and conditions.

2. Services Provided

We provide the following services:

  • Audio mixing of multi-track recordings

  • Audio mastering of stereo mixes

  • Optional services including vocal tuning, stem mastering, or editing upon request

3. Booking & Payment

  • All bookings must be confirmed via email or an approved form of communication.

  • A 50% non-refundable deposit is required to reserve your project on our calendar.

  • Full payment must be made before final delivery of high-resolution files.

  • Payment methods accepted: Bank ACH Transfer or Credit/Debit via Stripe, Melio Payments, PayPal, Wise, as well as various other popular payment apps.

  • Rates are subject to change but will be honored once a project is confirmed.

4. Turnaround Time

  • Standard turnaround is 24-72 hrs per song after receiving all proper files and payment/deposit.

  • Rush services are available for an additional fee and must be agreed upon in writing.

5. File Submission Guidelines

Clients are responsible for submitting:

  • Properly labeled, consolidated, and exported audio stems, stereo mixes.

  • Files in industry-standard formats (e.g., WAV) at minimum 44.1kHz / 32-bit (float)

  • A reference mix and notes regarding sound preferences (optional but recommended)

Poorly prepared files may result in delays or additional fees.

6. Revisions

  • Each mix/master includes up to 5 rounds of revisions.

  • Additional revisions will be billed at an hourly rate of $40-$80/hr, particularly for unanticipated requests outside the scope. (or out of Engineer’s control) of Mixing and/or Mastering dutes.

7. Delivery

  • Final mixes and masters will be delivered in digital format via Box, or a alternatively, a password-protected file transfer service.

  • Standard deliverables include:

    • Mixed track in WAV and MP3

    • Mastered version in WAV (24-bit/48kHz or per specs)

    • Additional formats (e.g., stems, instrumental, TV mix) available upon request and may incur extra fees at an hourly rate of $40/hr.

8. Ownership & Rights

  • Upon full payment, the Client owns the final mixed/mastered version of the audio ("Master Recording”).

  • The Engineer does not claim authorship, publishing, or composition rights unless otherwise agreed in writing.

  • We reserve the right to display your project (snippets only) for promotional purposes unless otherwise agreed in writing.

9. Credits

  • Where applicable, credits should be listed as:

    • Mixed by Ryan Summer

    • Mastered by Ryan Summer

10. Engineer Entitlements in the Event of Non-Payment

  • Final masters or high-resolution deliverables will not be released until the full payment has been received.

  • If the Client fails to pay the remaining balance by the invoice due date, the following will apply:

    • An interest charge of 10% per month will accrue on any outstanding balance not paid within five (5) business days following the invoice due date. (Payment plans may be arranged to avoid monthly interest charges).

    • Work on the project will be suspended or delayed indefinitely until payment is made in full.

    • If the invoice remains unpaid 30 days past the due date, the Engineer reserves the right to:

      • Permanently withhold final deliverables

      • Pursue collection actions, including legal or third-party services, with any fees incurred passed on to the Client.

  • Additionally, and under special circumstances in cases of non-payment, the Engineer may also seek to:

    • Claim up to 50% ownership of the final Master Recording;

    • Register with SoundExchange or other collection societies as a rights holder of the sound recording;

    • List themselves as a featured performer or remixer where applicable;

    • Receive corresponding performance royalties, digital royalties, or neighboring rights until full compensation is received.

    • Seek compensation through alternate revenue streams until full payment is received

Once the Client pays in full, any such rights pursued or claimed under this clause will be relinquished, reassigned and voided.

11. Refund Policy

Due to the nature of digital audio services, no refunds will be issued after work has begun. If the Client is unsatisfied, reasonable efforts will be made to address concerns through revisions as outlined above.

12. Liability & Disclaimer

  • We are not liable for data loss due to client negligence, equipment failure, or file corruption.

  • We do not guarantee any specific commercial outcome (e.g., streaming performance, chart placement).

  • Backups of sessions may be kept indefinitely, but is not guaranteed. Clients are responsible for archiving their files.

13. Termination

We reserve the right to refuse or terminate service if a client engages in abusive, disrespectful, or unprofessional behavior. In such cases, any unused portion of the fee may be refunded at our discretion.

14. Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. All disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Los Angeles, California, United States.

15. Agreement Acknowledgement

By commissioning our mixing/mastering services, you acknowledge that you have read, understood, and agreed to the terms outlined in this Agreement.
